Welcome to Perikles! By accessing or using the Perikles mobile application ("App"), website, or related services (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Services.

By creating an account or using the Services, you represent that:

• You are at least 13 years of age
• You have the legal capacity to enter into binding contracts
• You will comply with all applicable laws and regulations
• All information you provide is accurate and current, and you will update it promptly when it changes

2. Description of Services

Perikles is a platform that provides:

• Social Networking: Connect with other users, share content, and engage with the community
• Art Auctions: Participate in real-time auctions for digital and physical artwork
• Image Sharing: Upload, store, and share images and artwork
• Event Discovery: Find local and virtual art events, festivals, and exhibitions
• Payment Processing: Secure payment services for purchases and auction bids
• Location-based Features: Optional location-based content recommendations

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice.

3. Account Registration and Security

3.1 Account Creation

To access certain features, you must create an account. You can register using:

• Sign in with Apple
• Third-party OAuth providers (LinkedIn, Amazon, Microsoft, Google)

3.2 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information is accurate and up-to-date

3.3 Account Termination

You may delete your account at any time through the app settings. We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activities
• Harm other users or the platform
• Misuse the Services

4. User Conduct and Content

4.1 Acceptable Use

You agree to use the Services in a lawful and respectful manner. You will NOT:

• Post illegal, harmful, threatening, abusive, harassing, or offensive content
• Infringe on intellectual property rights of others
• Upload malware, viruses, or malicious code
• Engage in spamming or unsolicited advertising
• Impersonate other users or entities
• Manipulate auctions or engage in bid rigging
• Scrape, harvest, or collect user data without permission
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the Services

4.2 User Content

You retain ownership of content you upload ("User Content"), but you grant us a worldwide, non-exclusive, royalty-free license to:

• Store, display, and distribute your User Content
• Use your User Content to provide and improve the Services
• Create derivative works for technical purposes (e.g., format conversion, resizing)

You represent and warrant that:

• You own or have the right to use all User Content you upload
• Your User Content does not violate any laws or third-party rights
• Your User Content does not contain private information of others without consent

4.3 Content Moderation

We reserve the right to:

• Review, monitor, and remove User Content at our discretion
• Take action against users who violate these Terms
• Cooperate with law enforcement regarding illegal content

5. Auctions and Bidding

5.1 Auction Participation

By participating in auctions on Perikles, you agree that:

• All bids are binding and cannot be retracted once placed
• Winning bids constitute a legal obligation to purchase
• You have the financial means to complete the purchase
• Auctions close at the specified time, and highest valid bid wins

5.2 Payment Obligations

If you win an auction:

• You must complete payment within the specified timeframe
• Failure to pay may result in account suspension and legal action
• Refunds are subject to our refund policy and seller agreement

5.3 Auction Integrity

Prohibited auction activities include:

• Bid manipulation or collusion
• Shill bidding (bidding on your own items)
• Using multiple accounts to manipulate auctions
• Misrepresenting items or providing false descriptions

6. Payment Terms

6.1 Payment Methods

We accept payments via:

• Apple Pay (for iOS users)
• Credit and debit cards (Visa, MasterCard, American Express)
• All payments are processed securely through Stripe

6.2 Pricing and Fees

• One-time Purchases: Used for image activation and single item purchases
• Subscriptions: Recurring charges for premium features (monthly or annual)
• Prices are displayed in EUR or your local currency
• All prices include applicable taxes unless otherwise stated
• Prices are subject to change with reasonable notice

6.3 Subscriptions

For subscription services:

• Subscriptions automatically renew unless cancelled
• You can cancel at any time through iOS Settings → Subscriptions
• Cancellation takes effect at the end of the current billing period
• No refunds for partial subscription periods
• Access to premium features ends upon cancellation

6.4 Refund Policy

Refunds are handled on a case-by-case basis:

• Contact support within 14 days of purchase for refund requests
• Refunds may be granted for technical issues or service failures
• Digital content (images, artwork) is generally non-refundable after delivery
• Auction purchases are subject to seller's refund policy
• Apple Pay and App Store purchases follow Apple's refund policies

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Services and all associated content (excluding User Content) are owned by Perikles and protected by copyright, trademark, and other intellectual property laws. This includes:

• App design, code, and functionality
• Perikles logo, branding, and trademarks
• Original content created by Perikles
• Software, algorithms, and technology

You may not:

• Copy, modify, or distribute our intellectual property
• Reverse engineer or decompile the app
• Remove copyright or trademark notices
• Use our trademarks without permission

7.2 Third-Party Content

The Services may contain links to third-party websites or content. We are not responsible for third-party content or practices.

8. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

• You can delete your account and data at any time

• All payment data is handled securely by Stripe and Apple Pay

9. Disclaimers and Limitations of Liability

We do not guarantee that:

• The Services will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Services are free from viruses or harmful components
• Results obtained from the Services will be accurate or reliable

9.2 User Transactions

We are not a party to transactions between users. We do not guarantee:

• Quality, safety, or legality of items listed
• Truth or accuracy of user listings or descriptions
• Ability of sellers to complete sales
• Ability of buyers to complete purchases

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERIKLES SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use the Services
• Unauthorized access to or alteration of your content
• Actions or content of third parties on the Services

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, OR €100, WHICHEVER IS GREATER.

9.4 Indemnification

You agree to indemnify and hold harmless Perikles, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your User Content
• Your violation of any rights of another party

10. Geographic Restrictions and Export Controls

The Services are operated from Germany and intended for users worldwide. However:

• We make no representation that the Services are appropriate or available in all locations
• Accessing the Services from locations where it is illegal is prohibited
• You are responsible for compliance with local laws
• The Services may not be available in all countries

You agree to comply with all applicable export laws and regulations.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of Germany, without regard to conflict of law principles.

11.2 Dispute Resolution Process

In the event of a dispute:

2. Negotiation: We will work with you in good faith to resolve disputes
3. Mediation: If informal resolution fails, we may agree to mediation
4. Legal Action: As a last resort, legal action may be taken in German courts

Any legal action must be brought in the courts of Germany. You consent to the exclusive jurisdiction and venue of such courts.

You agree to resolve disputes individually and waive the right to participate in class actions or class arbitrations.

12. Changes to Terms

We may modify these Terms at any time. When we make changes:

• We will update the "Last Updated" date at the top
• We will notify you via email or in-app notification for material changes
• Continued use of the Services after changes constitutes acceptance
• If you do not agree to the changes, you must stop using the Services

13. Termination

These Terms remain in effect until terminated by either party.

13.1 Your Right to Terminate

You may terminate at any time by:

• Deleting your account through app settings
• Ceasing to use the Services

13.2 Our Right to Terminate

We may terminate or suspend your access immediately, without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Risk to other users or the platform
• Extended period of inactivity

13.3 Effect of Termination

Upon termination:

• Your right to use the Services ceases immediately
• Your User Content may be deleted
• Outstanding payment obligations remain in effect
• Provisions that should survive termination will continue (e.g., liability limitations, dispute resolution)

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Perikles regarding the Services.

14.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

14.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

14.5 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

14.6 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.

16. Apple-Specific Terms

For users accessing the Services through Apple devices:

16.1 Acknowledgment

• These Terms are between you and Perikles, not Apple
• Apple has no obligation to furnish maintenance and support services
• Apple is not responsible for the App or its content

16.2 Scope of License

• The App is licensed, not sold, to you
• You may use the App on Apple devices you own or control
• You must comply with Apple's App Store Terms of Service

16.3 Maintenance and Support

• Perikles is solely responsible for maintenance and support

16.4 Warranty

• To the extent permitted by law, Apple has no warranty obligations

• Apple is not responsible for investigation, defense, settlement, or discharge of such claims

16.6 Intellectual Property Claims

• If a third party claims the App infringes intellectual property, Perikles is responsible
• Apple is not responsible for investigation or resolution of such claims

16.7 Legal Compliance

• You represent that you are not in a country subject to U.S. Government embargo
• You are not on any U.S. Government list of prohibited or restricted parties

16.8 Third-Party Beneficiary

• Apple is a third-party beneficiary of these Terms
• Upon your acceptance, Apple has the right to enforce these Terms against you
